Official event rules
Event Description
Toronto Hydro-Electric System Limited (“Toronto Hydro”)’s Power Pitch (the “Event”) will be hosted virtually in Toronto, Ontario. The Event will be held in the 2021 calendar year on a date to be determined ("Event Period").
Toronto Hydro is seeking innovative ideas for products, services, technologies and business models that can help make a positive impact on the City of Toronto’s electricity system and environmental performance. Interested organizations are invited to complete the online application for Toronto Hydro’s review. A short list of respondents, selected at Toronto Hydro’s sole discretion, will be invited to participate (“Selected Respondents”) and present their ideas to a live panel of Toronto Hydro representatives. Selected Respondents will be provided with necessary Event details, including scheduled dates, presentation format and virtual access information.
The Event will consist of Selected Respondents’ presentations outlining an innovative technology and/or idea, operational and implementation details, scalability and projected results followed by panel questions and an opportunity for discussion.
Respondents may apply for the opportunity to participate in this Event by completing the application form with a detailed description of the innovative technology and/or idea and submitting it through the Power Pitch website: www.powerpitch.ca.
Respondents may email info@powerpitch.ca if they have any questions or require changes to their submission. If selected to participate in the event, Selected Respondents will be directly contacted by Toronto Hydro.
Eligibility
This Event is open to all organizations, excluding the employees, directors, and officers of Toronto Hydro or any of its affiliates, advertising, and promotional agencies, and agents and representatives and the immediate family members of such employees, directors, and officers, their legal or common-law spouse and/or any persons living in the same household.
A copy of the terms and conditions (the “Official Event Rules”) for this Event will be posted at powerpitch.ca/eventrules throughout the Event Period. By participating in this Event, respondents acknowledge they have read, understood, and agree to comply with these Official Event Rules. Toronto Hydro reserves the right in its sole discretion to disqualify any respondent they find to be tampering with the entry process or with the operation of this Event or to be acting in violation of the Official Event Rules. Toronto Hydro reserves the rights, in its sole discretion, to amend, cancel, terminate, or suspend this Event, in whole or in part, without prior notice.
Any attempt to deliberately damage any website or to undermine the legitimate operation of this Event is a violation of law, and should such an attempt be made, Toronto Hydro reserves the right to exclude such person from the Event and to seek remedies and damages to the fullest extent permitted by law.
Confidentiality and Intellectual Property
Confidentiality during the application phase: All information submitted by respondents as part of the application process must not be confidential or commercially sensitive and it will not be treated as such by Toronto Hydro.
Confidentiality during the panel presentation phase: Upon acceptance to participate in the Event, Toronto Hydro will circulate confidentiality agreements to Selected Respondents for signature in order to facilitate the exchange of information with the Toronto Hydro panel.
Selected Respondents shall retain ownership of all their intellectual property.
Disclaimer
This Event is not a Toronto Hydro procurement and does not impact any existing or future contractual arrangements or procurements organized by Toronto Hydro. This Event will not result in the award of a contract to any participating respondents.
This Event is not a contest and Toronto Hydro does not purport to be a contest sponsor, intend to select any winners, or offer any prizes to Selected Respondents.
Release
By applying to participate and/or participating in this Event, each respondent acknowledges and agrees that Toronto Hydro accepts no responsibility for any loss, damages or claims arising from, or caused by, the Event and releases Toronto Hydro in respect of same.
By participating in this Event, each Selected Respondent further acknowledges and agrees that as a condition of participating, Toronto Hydro and its affiliates have the right to use and publicize the Selected Respondent’s name, which may include publicizing the Selected Respondent’s name on Toronto Hydro’s LinkedIn, Facebook, Twitter, and/or Instagram pages, and the fact that the Selected Respondent has participated for publicity purposes, without remuneration or liability, except where prohibited by law, and agree to sign a release acknowledging such rights.
Governing Laws
This Event is subject to all applicable laws in the Province of Ontario and the federal laws of Canada applicable therein.
Personal Information
The personal information gathered about respondents for this Event will be used only for the administration of this Event and will not be used or disclosed for any other purpose except as permitted or required by law. Respondents may view and read Toronto Hydro's Privacy Policy at torontohydro.com/privacypolicy. Any other consent that the respondent has given to the Sponsor to receive commercial electronic messages which are currently in effect, and unrelated to this Event, shall not be affected by the request for consent made pursuant to this Event.
Event Organizer
Toronto Hydro-Electric System Limited, 14 Carlton Street, Toronto, Ontario, M5B 1K5. Toronto Hydro-Electric System Limited is the regulated distributor of electricity in the City of Toronto.
Toronto Hydro reserves the right, to cancel, amend, or suspend this Event (or to amend these Rules) in any way, in the event of an error, technical problem, computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure, or any other cause beyond the reasonable control of Toronto Hydro that interferes with the proper conduct of this Event as contemplated by these Rules. Any attempt to deliberately damage any website or to undermine the legitimate operation of this Event in any way (as determined by Toronto Hydro in its sole and absolute discretion) is a violation of criminal and civil laws and should such an attempt be made, Toronto Hydro reserves the right to seek remedies and damages to the fullest extent permitted by law.
Toronto Hydro reserves the right to cancel, amend or suspend this Event, or to amend these Rules, in any way without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind, or for any other reason whatsoever.
Toronto Hydro reserves the right, in its sole and absolute discretion, and without prior notice, to adjust any of the dates and/or timeframes stipulated in these Rules, to the extent necessary, for purposes of verifying compliance by any respondent, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of Toronto Hydro, in its sole and absolute discretion, affect the proper administration of the Event as contemplated in these Rules, or for any other reason. In the event of any discrepancy or inconsistency between the terms and conditions of these Rules and disclosures or other statements contained in any Event-related materials, including, but not limited to: television, print or online advertising; the terms and conditions of these Rules shall prevail, govern and control to the fullest extent permitted by law.
